ID Logistics announces the acquisition of GVT Transport & Logistics in the Benelux

ID Logistics (ISIN: FR0010929125, Ticker: IDL), one of the European leaders in contract logistics, announces the acquisition of 100% of GVT Transport & Logistics, the transport and logistics division of the GVT Logistics Group.

By acquiring GVT Transport & Logistics, ID Logistics is actively pursuing its strategy of international growth. The Group will consolidate its positions in Europe by creating a key logistics player in the Benelux. The Benelux is the 3rd logistics market in continental Europe, after Germany and France, and the gateway to many industrial and private customers

GVT Transport & Logistics is the transport and logistics division of GVT Group of Logistics founded in 1957. It provides warehousing, road transport and last mile delivery services. The division named BTT, which offers multimodal container solutions, is not part of the transaction and will remain operated separately by GVT Group of Logistics.

GVT Transport & Logistics manages 12 sites, employs more than 750 professionals, leases 200,000 m² of warehouses and has a fleet of 285 trucks in the Netherlands and Belgium. Its main logistics campus in Tilburg is strategically located a short distance from major airports and seafaring and good accessibility by water, rail and road with many international manufacturers based in this region. GVT Transport & Logistics serves a diverse customer portfolio, primarily international distribution companies of Brand A electronic and non-food products.

GVT Transport & Logistics and ID Logistics have been cooperating successfully in the Benelux for many years. The two head offices are based in Tilburg. The merger of the two companies will offer logistics services that are unique in the market and high visibility in this strategic market.

Overview of transactions

The transaction is based on a purchase price with an enterprise value of 80 million euros and will be fully settled in cash. ID Logistics will maintain a solid financial structure with a leverage ratio of 1.2x post-acquisition proforma EBITDA.

The transaction remains subject to the approval of the Dutch regulatory authorities responsible for monitoring mergers and acquisitions. The closure is scheduled for the end of 2021.
